To invest in property, you will need to withdraw funds from your current business account. Here are the methods:
- Dividends: Paying dividends to yourself (as a shareholder) from the current business and then investing those funds personally into the new property company.
- Intercompany Loan: Creating a loan agreement between the two Ltd companies, allowing the transfer of funds from the current business to the new property investment company.
- Director’s Loan: Taking a director’s loan from the current business and using those funds to invest in the new property company.
Tax Implications
Dividends
- Taxation: Dividends are subject to dividend tax. The rates for the 2023/24 tax year are:
- 0% on dividends within your dividend allowance (£2,000).
- 8.75% on dividends within the basic rate band.
- 33.75% on dividends within the higher rate band.
- 39.35% on dividends within the additional rate band.
- Advantages: Dividends are not subject to National Insurance Contributions (NICs).
- Disadvantages: Dividends can only be paid out of profits and are taxed at personal dividend rates.
Intercompany Loan
- Taxation: Generally, intercompany loans are not subject to immediate tax implications if properly documented and at a commercial interest rate.
- Advantages: Provides flexibility and potentially avoids immediate tax liabilities.
- Disadvantages: Requires careful management and proper documentation to ensure compliance with HMRC regulations.
Director’s Loan
- Taxation: If not repaid within 9 months of the company’s year-end, a 32.5% tax charge applies. Additionally, if the loan exceeds £10,000, it may be considered a benefit in kind, subject to personal income tax.
- Advantages: Provides immediate access to funds.
- Disadvantages: Potential tax charges if not managed properly.
